Reference is made to the circular to shareholders of Elite KSB Holdings Limited (the “Company”) dated 12 October 2012 (the “Circular”) and the announcement reference 00100. Following completion of the Disposal, the Board is pleased to declare a one-off special exempt (one-tier) dividend (the "Special Dividend") of S$48.09 million, which represents approximately 66.98% of the net sale proceeds of S$71.8 million of the Disposal. NOTICE IS HEREBY GIVEN that the Transfer Books and Register of Members of the Company will be closed on 21 November 2012 for the purpose of determining shareholders’ entitlements to the proposed Special Dividend of S$0.355 per ordinary share in respect of the financial year ending 30 June 2013. Duly completed transfers received by the Company’s Registrars, Boardroom Corporate & Advisory Services Pte. Ltd. at 50 Raffles Place #32-01 Singapore Land Tower Singapore 048623 up to 5.00 p.m. on 20 November 2012 will be registered before entitlements to the Special Dividend are determined. The Proposed Special Dividend will be paid on 30 November 2012. Members whose Securities Accounts with The Central Depository (Pte) Limited (“CDP”) are credited with shares at 5.00 p.m. on 20 November 2012 will be entitled to the Proposed Special Dividend. In respect of shares in Securities Accounts with CDP, the Proposed Special Dividend will be paid by the Company to CDP which will in turn distribute the dividend entitlements to such holders of shares in accordance with its practice.
